UAE Asset Manager License

Abu Dhabi financial services regulatory authority regulates Collective Investment Law of 2010. This Act sets out the guidelines pertaining to the application and licensing of Asset Manager License and other collective investment entities in UAE.

UAE Asset Manager License

As per the Act, an Asset Manager License means a business of dealing

in Investment whether acting as principal or agent by way of business:

  1. Makes or offers to make an agreement with another person to enter into or offer to enter into an agreement, for or with a view to acquiring, disposing of, subscribing for or underwriting Investment or in any way effects or causes to effect a Investment transaction;
  2. Manages a portfolio of Investment for another person on terms under which the first mentioned person may hold property of the other person.

Element Requirement(s)
Entity Requirements The entity making the application is a UAE company under the Collective Investment Law of 2010.

Company includes:

  1. Investment Companies
  2. Investment Partnership
  3. Investment Trust
  4. Protected Cell Company
Director’s Requirements The licensee will need at least 2 (two) natural person Fit and Proper Directors of any jurisdiction.
Shareholder requirements
  • The investment dealer will need at least one shareholder.
  • Corporate shareholding is allowed and 100% foreign ownership is permitted.
Compliance Officer The Licensee must establish and maintain an appropriate and effective compliance function within the firm which operates independently of all operational and business line functions and senior or supervisory management.
Fund Manager A Investment fund manager who has obtained a DFSA license

  1. An external fund manager from an acceptable DFSA recognized jurisdiction and can be either a body corporate managed fund from a recognized place of business in the respective jurisdiction
Auditor The Licensee, within one month after becoming licensed, shall appoint an external auditor who is acceptable to the authority.
Minimum Capital Requirements The Applicant must have the prescribed minimum subscription of USD 100,000.

Ongoing Obligations

  1. Publish its annual audited financial statements within four months of the year end and an interim report within two months of the period end.
